Introduction and Acceptance

These Terms of Use (“Terms”) apply to your use of the websites, mobile applications and other resources provided by Omnihealth Practice and its affiliates (referred to collectively as “Omnihealth Practice,” “us”, “we”, and “Our”) that are intended for use by the healthcare professionals, which we refer to as the “Omnihealth Practice Network,” including the information and services made available to users of the Omnihealth Practice Network such as medical news, reference content, clinical tools, applications, sponsored programs, advertising, email communications, continuing medical education, market research opportunities and discussion forums (collectively, the “Services”).

You will always be able to view the most current version of these Terms by clicking on the Terms of Use link at the bottom terms of use. In the event that we expand the Omnihealth Practice Network through our acquisition of another company and/ or its properties, that company may operate its properties subject to its own terms of use accessible via a link on such properties until we integrate its practices with ours, at which point a link to these Terms will be displayed on its properties.

You agree that these Terms of Use are supported by good and valuable consideration the receipt and sufficiency of which you hereby acknowledge. Such consideration includes, without limitation, your use of omnihealthpractice.com and the materials and information available on the same.

By accessing to our information and data, you agree to enter into a legally binding agreement with Omnihealth Practice (even if you are using our Services on behalf of a company). If you do not agree to this contract (“Contract or “User Agreement”), DO NOT use access to our information and data.

 

1. Account Registration

You must register an account with the Omnihealth Practice Network to access some of the information. Registration requires you to provide us with your prefix, name, email address, profession, specialty and other information specified in the registration form (“Registration Information”), and to select a password that will be associated with your account.

You agree that your Registration Information is true, accurate, current, and complete, and you will promptly update your Registration Information as necessary so that it continues to be true, accurate, current, and complete. We may attempt to verify the accuracy of the Registration Information that you have provided and update it as necessary. You are solely responsible for maintaining the confidentiality and security of your Omnihealth Practice account username and password and you may not permit another person to use your username and password to access the Services. You are responsible for all activity that occurs under your account. If you believe that the security of your account information has been compromised, you should immediately change your username and password through the account settings feature or notify us and we will assist you. We shall have no liability for any unauthorized access to or use of your account information.

If you wish to terminate your account, you may terminate your account by sending an email to [email protected]. If you no longer accept these terms and conditions, or any future modification to these terms and conditions, you must cease using the Omnihealth Practice Site. Continued use of the Omnihealth Practice Site indicates your continued acceptance of these terms and conditions.

If, for any reason, we believe that you have not complied with these terms and conditions, we may, at our sole discretion, cancel your access to the registration areas of Omnihealth Practice Site immediately and without prior notice.

We may terminate your registered account, at our sole discretion, by emailing you at the address you have registered stating that the agreement has terminated.

 

2. Use of the Information
 

The information are intended for physicians and other healthcare professionals only. By using the information, you represent and warrant that you have the right, authority, and capacity to agree to and abide by these Terms and that you are not prohibited from using the information or any portion thereof.

The information and tools that we make available are provided for educational and informational purposes only. While we hope you find the information useful to you as a healthcare professional, we are in no way intended to serve as a diagnostic service or platform, to provide certainty with respect to a diagnosis, to recommend a particular product or therapy or to otherwise subtitle for the clinical judgement of a qualified healthcare professional. You agree that you will not use the information with the intention of creating any kind of physician/patient relationship, e.g., to diagnose or treat users. You are solely responsible for evaluating the information obtained from us and for your use or misuse of such information in connection with your treatment decisions or otherwise. You agree that you shall be solely responsible for your compliance with all laws and standards of professional practice applicable to you and the practice of medicine or other relevant health profession.

Notwithstanding anything stated herein, you may be subject to certain obligations and responsibilities associated with the jurisdiction in which you practice medicine or another health profession. We make no representation or warranty as to the legal compliance of the information or content of Omnihealth Practice and you are solely responsible for compliance with the laws of your jurisdiction, with respect to your use and misuse of the information and content of Omnihealth Practice. We reserve the right, at any time in our sole discretion, to limit the availability and accessibility of the information and content of Omnihealth Practice Network, to any person, geographic area or jurisdiction we so desire.

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable and non-sublicensable license to view the information and materials made available through the Services, including User Content, as defined below, ("Omnihealth Practice Content") solely for your personal and professional use. You shall not use, reproduce, modify, create derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the information or content of Omnihealth Practice, or Omnihealth Practice Network properties, except as expressly permitted in these Terms. All rights not expressly granted herein are reserved by us and our respective licensors, as applicable.

The Omnihealth Practice Network may contain links to third-party websites or resources which are not part of the Omnihealth Practice Network. You agree that we are not responsible or liable for these websites and resources including, without limitation, their availability of the content and information that they provide. The inclusion in the Omnihealth Practice Network of third-party resources, including links to third party websites, does not imply our endorsement of these resources.

You agree that you will not engage in any of the following activities in connection with your access of the information:

  • Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the information;
  • Use, display, mirror or frame Omnihealth Practice Site, or any component thereof, or trademark, logo or other proprietary information without the written consent of Omnihealth Practice;
  • Remove any copyright, trademark or other proprietary rights notices contained within the Omnihealth Practice Network and any of their respective licensors;
  • Infringe or use any of our brands, logos trademarks or other proprietary marks in any business name, email, URL, or other context unless expressly approved in writing by Omnihealth Practice, as applicable;
  • Attempt to circumvent any protective technological measure associated with the Services;
  • Attempt to access or search any Omnihealth Practice Network properties or any content contained therein through the use of any engine, software, tool, agent, device or mechanism (including scripts, bots, spiders, scraper, crawlers, data mining tools or the like) other than through software generally available through web browsers;
  • Post, upload, transmit or otherwise distribute chain letters, pyramid schemes, advertising, or spam;
  • Impersonate or misrepresent your affiliation with another person or entity;
  • Harvest or otherwise collect information about others, including email addresses;
  • Interfere with or disrupt any of the information or the associated computer or technical delivery systems;
  • Interfere with, or attempt to interfere with, the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail bombing Omnihealth Practice Site;
  • Fail to respect another user's privacy. This includes revealing another user's password, phone number, address, instant messenger I.D. or address or any other personally identifiable information; or
  • Use any Omnihealth Practice Network property, the information or any Omnihealth Practice Content in any manner not permitted by these Terms.

We may (but are not obligated to) do any or all of the following without notice:

  • Record or pre-screen User Content submissions to public areas within the Omnihealth Practice Network;
  • Investigate your use of the information as we deem appropriate to comply with any applicable law, regulation, government request or legal process;
  • Remove User Content which we believe does not comply with these Terms of Use;
  • Terminate your access to the Omnihealth Practice Network upon our determination that you have violated these Terms of Use; and
  • Edit Omnihealth Practice Content.

 

3. Proprietary Rights

The content of the Omnihealth Practice Network includes, without limitation, (1) the trademarks, service marks, logos, brands, and brand names, trade dress and trade names and other distinctive identification (collectively “Omnihealth Practice Marks”); and (2) information, data, materials, interfaces, computer code, data bases, products, services, software applications and tools, text, images, photographs, audio and video material, and artwork, and (3) the design, structure, selection, compilation, assembly, coordination, expression, functionalities, applications, look and feel, and arrangement of any content contained in or available through the Omnihealth Practice Network (the items identified in subsections (1) (2) and (3) shall be collectively referred to herein as “Omnihealth Practice Content”). Omnihealth Practice Content is the property of the Omnihealth Practice, its licensors, sponsors, partners, advertisers, content providers or other third parties and is protected by law including, but not limited to, Hong Kong copyright, trade secret, patent, and trademark laws, as we as other state, national and international laws, treaties and regulations. The reproduction, transmission, distribution, sale, broadcast, publication, circulation or dissemination of any Omnihealth Practice Content by you, or by you through any other person or entity, is prohibited unless express written consent is separately obtained from the Omnihealth Practice Network or the owner of such content if the Omnihealth Practice Network is not the owner. Any use of the Omnihealth Practice Marks without the Omnihealth Practice 's express written consent is strictly prohibited. You may not alter, delete, obscure, or conceal any copyright or other notices appearing in the Omnihealth Practice Content, including any such notices appearing on any Omnihealth Practice Content you are permitted to download, transmit, display, print, or reproduce from the Omnihealth Practice Network.

 

4. Advertisers

The Omnihealth Practice Network may contain advertisements of third parties. The inclusion of advertisements on the Omnihealth Practice Network does not imply endorsement of the advertised products or services by the Omnihealth Practice Network. The Omnihealth Practice Network shall not be responsible for any loss or damage of any kind incurred as a result of the presence of such advertisements on the Omnihealth Practice Network. Further, the Omnihealth Practice Network shall not be responsible or liable for the statements or conduct of any third-party advertisers appearing on the Omnihealth Practice Network. You shall be solely responsible for any correspondence or transactions you have with any third-party advertisers.

6. Links to Omnihealth Practice Network and Omnihealth Practice Content

Links posted by third-parties to the Omnihealth Practice Network and/ or the Omnihealth Practice Content may not use the Omnihealth Practice trademark or logo and shall not suggest that Omnihealth Practice promotes or otherwise endorses any third-party products, business relationships, services, causes, campaigns, websites, content, or information. Any links to any portion of the Omnihealth Practice Network shall be the responsibility of the linking party. The Omnihealth Practice Network reserves the right to require any linking party to disable or remove any link that violates the rights of Omnihealth Practice or causes interruption or deterioration of the Omnihealth Practice Content.

8. Governing Law

The Terms of Use and all matters regarding your use of the Omnihealth Practice Network shall be governed by, constructed in accordance with, and enforced under the laws of the Hong Kong Special Administrative Region of the People's Republic of China applicable to contracts made and executed and wholly performed in the Hong Kong Special Administrative Region of the People's Republic of China.

 

9. Modification

We reserve the right in our sole discretion and at any time and for any reason, to modify, discontinue or terminate any of the information and content of Omnihealth Practice or these Terms, at any time and without prior notice. If we modify these Terms in a material way, we will provide notice of such modification within the Omnihealth Practice Network. By continuing to access or use the information after we have modified these Terms, you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, you agree to immediately stop using the Omnihealth Practice Network and the Services.

 

10. Liability

The Omnihealth Practice Network shall not be liable, and disclaim any liability, for any claim, loss or damage, direct or indirect, including, without limitation, compensatory, consequential, incidental, indirect, special, exemplary or punitive damages of any kind whatsoever in connection with, as a result of, or arising (1) out of the use of or inability to use the Omnihealth Practice Network and/or any Omnihealth Practice Content; (2) from any interruption in the availability of the Omnihealth Practice Network and/or any Omnihealth Practice Content; (3) from any loss of data and/or from any equipment failure; (4) out of the procurement of substitute goods or services resulting from any problems with the goods, content and/or services purchased or obtained from the Omnihealth Practice Network, or transactions entered into, through or from the Omnihealth Practice Network; (5) from unauthorized access to or alteration of your transmissions of data; (6) from statements or contact of any third party on the Omnihealth Practice Network; (7) from any delay or failure of the Omnihealth Practice Network arising out of causes beyond control of Omnihealth Practice; (8) out of the use of, reference to, or reliance on, the Omnihealth Practice Content; (9) out of any third party materials, information, products and services contained on, or accessed through, the Omnihealth Practice Network; (10) out of any content, materials,  accuracy of information, and/or quality of the products, services or materials provided by or advertised on third party websites; or (11) out of any other matter relating to the Omnihealth Practice Network or the Omnihealth Practice Content.

In the event you are dissatisfied with, or dispute, these Terms of Use, the Omnihealth Practice Network and/or the Omnihealth Practice Content, your sole right and exclusive remedy is to terminate your use of the Omnihealth Practice Network, even if that right or remedy is deemed to fail its essential purpose. You confirm that the Omnihealth Practice Network has no other obligation, liability or responsibility to you or any other parties.

 

11. Indemnity

You agree to defend, indemnify, and hold each of us and our respective directors, officers, employees, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your access to or use of the Omnihealth Practice Network, the information and the Omnihealth Practice Content or your violation of these Terms.

 

12. No Waiver

Our failure to exercise or enforce any right or provision in these Terms of Use shall not constitute a waiver of future enforcement of that right or provision. If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be enforced to the fullest extent of the law, and all other provisions shall remain in full force and effect.

The Omnihealth Practice makes no claims regarding access or use of the Omnihealth Practice Network or the Omnihealth Practice Content outside of the Hong Kong Special Administrative Region of the People's Republic of China. If you use or access the Omnihealth Practice Network or the Omnihealth Practice Content outside of the Hong Kong Special Administrative Region of the People's Republic of China, you do so at your own risk and are responsible for compliance with the laws and regulations of those governing jurisdictions in addition to these Terms of Use.
